Terms & Conditions of Purchase

These Terms & Conditions of purchase set out the rules under which you can buy height-adjustable (sit/stand) desks, ergonomic office furniture and accessories in the ProDesk online shop. Please read them carefully before placing an order. When placing the order, the Buyer confirms via a separate checkbox that they have read and accept these Terms, and the final order action is clearly labelled "Order with an obligation to pay". The Terms are drawn up in accordance with the laws of the Republic of Lithuania, including the Civil Code, and EU consumer-protection requirements. The version number and effective date appear at the end of these Terms; the version in force at the time the order is placed always applies to that order.

General Provisions

In these Terms, the Seller is the person operating the ProDesk online shop and trading under the "ProDesk" brand. The Seller's identification details — name, individual-activity certificate number, registered address, and contact details (geographic address, telephone, email) — are clearly stated on the Contacts page and form an integral part of these Terms. The Buyer is the natural or legal person purchasing goods in the shop.

A consumer, under these Terms, is a natural person purchasing goods for purposes unrelated to their trade, business, craft or profession. The statutory consumer rights — the 14-day right to withdraw from a distance contract and the statutory 2-year guarantee of conformity (quality) — apply only to consumers. They do not apply to Buyers that are legal persons or other business entities (B2B); such purchases are governed by the general and commercial provisions of these Terms and by the Civil Code rules applicable to transactions between businesses.

ProDesk sells within the territory of the Republic of Lithuania only. The website is available in Lithuanian, English and Russian; in the event of any discrepancy between language versions, the Lithuanian text prevails.

The Seller may amend these Terms; the version in force at the time the order is placed applies to that order. A Buyer who does not agree with the Terms or their amendments may not use the shop.

Conclusion of the Contract

The Buyer assembles a basket of goods, enters the delivery and payment details, confirms via a separate checkbox that they have read and accept these Terms, and submits the order by clicking the clearly labelled "Order with an obligation to pay" button. Clicking this button signifies that the order entails an obligation to pay.

Submitting the order and clicking the button do not by themselves mean that the purchase contract is concluded. The contract between the Buyer and the Seller is concluded only when the Seller confirms acceptance of the order by sending an order confirmation to the email address provided by the Buyer. Until such confirmation, the Seller may decline to accept the order.

The contract remains in force until both parties have fully performed their obligations. Each order is stored in the Seller's information system.

Prices and Payment

All prices in the shop are shown in euros and are final. The seller operates as a sole trader and is not registered for value-added tax (VAT), so no VAT is charged. The final order total, including any delivery fee, is displayed before you confirm the order.

You can pay via Paysera, Montonio, by payment card (through Stripe) or by bank transfer. Payment-card data is processed solely within the payment provider's environment and never reaches the Seller's server.

Delivery of Goods

Delivery is free on orders from €99. The estimated delivery time is 1–3 business days from receipt of payment. In any event, unless the parties agree otherwise, the goods are delivered no later than 30 days from the conclusion of the contract; if this period is exceeded, the Buyer may set an additional reasonable period and, on its expiry, withdraw from the contract.

Delivery options: to a parcel locker (Omniva, LP Express or DPD) — €2.99; courier to the door (Venipak or DPD) — €4.99; pickup in Vilnius — free.

Bulky goods (desks and frames) cannot be sent via parcel locker — they are available by courier or for pickup in Vilnius only.

The risk of accidental loss of or damage to the goods passes to the Buyer (consumer) at the moment the Buyer, or a third party designated by the Buyer other than the carrier, takes physical possession of the goods. Where the carrier was chosen by the Buyer rather than from the options offered by the Seller, the risk passes when the goods are handed over to the carrier.

Right of Withdrawal

A Buyer who is a consumer has the right to withdraw from a distance contract within 14 days, without giving any reason. This right applies only to consumers and does not apply to Buyers that are legal persons or other business entities.

The 14-day period is counted as follows: where a single item is delivered — from the day on which the Buyer, or a third party designated by the Buyer other than the carrier, takes physical possession of the goods; where several goods ordered in one order are delivered separately — from the day on which the last item is received; where the goods are delivered in separate lots or pieces — from the day on which the last lot or piece is received.

The Buyer informs the Seller of the decision to withdraw before the period expires, by an unequivocal statement (for example, by post or email using the methods listed on the Contacts page). The Buyer may use the model withdrawal form, which is made available in the shop and can be obtained from the Seller using the methods on the Contacts page, but its use is not mandatory.

Having notified withdrawal, the Buyer must return the goods to the Seller without undue delay and no later than 14 days from the day on which the withdrawal was notified. Returned goods must be unused, undamaged and retain their original appearance; ideally they should be returned in the original packaging with all components.

The Buyer is liable for any diminished value of the goods resulting from handling beyond what is necessary to establish the nature, characteristics and functioning of the goods. If the goods were used more than necessary to inspect them, the Seller may reduce the refund by the corresponding diminution in value.

In accordance with the law, the direct cost of returning the goods is borne by the Buyer. Standard items may be returned by post or parcel service; bulky goods (desks, frames and other goods that, by their nature, cannot normally be returned by post) are returned by courier, and the estimated maximum cost of such a return is up to €39 per item, depending on the size, weight and delivery address of the goods.

Upon receiving the notice of withdrawal, the Seller refunds to the Buyer all sums paid, including the cost of delivery (except for any supplementary costs arising from the Buyer's choice of a delivery type other than the cheapest one offered by the Seller), without undue delay and no later than 14 days from the day the notice is received, using the same payment method as the original payment. The Seller may withhold the refund until the goods are returned, or until the Buyer supplies evidence of having dispatched the goods, whichever is earlier.

The right of withdrawal does not apply in the statutory cases relevant to this catalogue, namely where the goods: are made to the Buyer's individual specification or are clearly personalised (for example, tabletops of non-standard dimensions or individual configuration); cannot be returned for reasons of hygiene or health protection once their protective seal has been opened; or, after delivery, are by their nature inseparably mixed with other items. Such cases are noted in the product description.

Quality and Warranties

All goods sold to consumers are covered by the statutory 2-year guarantee of conformity (quality) under the Civil Code of the Republic of Lithuania and EU law: the Seller is liable for any lack of conformity of the goods that becomes apparent within 2 years of delivery. Any lack of conformity that becomes apparent within the first year from receipt of the goods is presumed to have existed at the time of delivery, unless the Seller proves otherwise (reversal of the burden of proof in the consumer's favour).

The statutory 2-year guarantee applies to all goods, including tabletops, motors and frames. It covers the product as a whole; ProDesk does not offer any separate commercial or extended warranty in addition to it.

To make a claim under the guarantee of conformity, the Buyer contacts the Seller using the methods on the Contacts page, states the order number and describes the defect. As provided by law, the Buyer may then demand that the goods be repaired or replaced, or claim a price reduction or a refund.

The statutory guarantee does not cover defects caused by improper use, mechanical damage, unauthorised repair or normal wear and tear.

Returns and Refunds

A Buyer who is a consumer may return goods by exercising the statutory 14-day right of withdrawal described above. Returned goods must be unused, undamaged and retain their original appearance; ideally they should be returned in the original packaging with all components.

Where the statutory 14-day right of withdrawal is exercised, the amount paid is refunded no later than 14 days from the day the notice of withdrawal is received, subject to the conditions set out above. The Seller may withhold the refund until the goods are returned, or until the Buyer supplies evidence of having dispatched them, whichever is earlier. Refunds are made using the same payment method as the original payment.

If goods are received defective or non-conforming, the Buyer has the right to demand replacement, repair, a price reduction or a refund as provided by law. In such cases the return costs are borne by the Seller.

Rights and Obligations

The Buyer undertakes to provide accurate order details, to pay for and accept the goods, and to comply with these Terms and the laws of the Republic of Lithuania. The Buyer is entitled to receive goods of proper quality, clear information, and to exercise the rights granted by law and these Terms.

The Seller undertakes to deliver the goods ordered, to provide accurate information about the goods and services, to process the Buyer's data as prescribed by law and to honour its warranty obligations.

The Seller may decline to fulfil an order if the details provided are incorrect or incomplete, payment is not received, or these Terms are breached; in such a case the Buyer is informed and any payment received is refunded.

Liability

Each party is liable for the non-performance or improper performance of its obligations under these Terms and applicable law.

The Seller is not liable for losses arising from incorrect details supplied by the Buyer, improper use of the goods or breach of these Terms.

These Terms do not limit any consumer rights granted by mandatory provisions of the law of the Republic of Lithuania and the European Union.

Personal Data

The Buyer's personal data is processed in accordance with the General Data Protection Regulation (GDPR) and the laws of the Republic of Lithuania. Detailed information on data processing is provided in the Privacy Policy.

For matters relating to data processing, you may contact the Seller as data controller using the methods on the Contacts page. If the Buyer considers that their personal data is being processed in breach of the law, they have the right to lodge a complaint with the supervisory authority — the State Data Protection Inspectorate (Valstybinė duomenų apsaugos inspekcija, VDAI), website vdai.lrv.lt.

Dispute Resolution

Any dispute is first resolved through negotiation. If no agreement is reached, a Buyer who is a consumer may refer the dispute for out-of-court resolution to the competent alternative dispute resolution (ADR) body — the State Consumer Rights Protection Authority (Valstybinė vartotojų teisių apsaugos tarnyba, VVTAT), address Vilniaus g. 25, 01402 Vilnius, website vvtat.lt, email tarnyba@vvtat.lt. VVTAT is the competent body for the out-of-court resolution of disputes between consumers and sellers.

Note: the former EU Online Dispute Resolution (ODR) platform (ec.europa.eu/consumers/odr) ceased operation as of 20 July 2025 and is no longer available for submitting disputes. Consumers refer disputes for out-of-court resolution directly to VVTAT.

If the dispute is not resolved out of court, it is heard by the courts of the Republic of Lithuania in accordance with the procedure laid down by law.

Final Provisions

These Terms and the purchase contract are governed by the law of the Republic of Lithuania.

The Seller may amend and supplement these Terms at any time; amendments take effect once published in the shop. The version in force at the time an order is placed applies to that order.
